Terms of Service

1. Introduction and Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between BALE Real Estate Services (“Company,” “we,” “our,” or “us”) and you (“User,” “you,” or “your”). By accessing, browsing, or using the BALE Real Estate Services website, mobile application, or any related services (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

 

If you do not agree to these Terms, please do not use the Platform. Your continued use of the Platform constitutes your acceptance of these Terms and any modifications we may make from time to time.

2. Definitions

  • Property – Any real estate, residential, commercial, industrial, or mixed-use property listed on the Platform.
  • Listing – Any property information, description, images, or documentation displayed on the Platform.
  • Transaction – Any purchase, sale, lease, rental, or investment arrangement involving a Property listed on the Platform.
  • Content – All text, images, videos, documents, and other materials on the Platform.

3. Use of the Platform

3.1 Permitted Use

You may use the Platform solely for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment. Specifically, you agree not to:

  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Platform.
  • Post, upload, or transmit content that is unlawful, threatening, abusive, defamatory, or obscene.
  • Disrupt the normal flow of dialogue or use automated means to access the Platform without authorization.
  • Attempt to gain unauthorized access to restricted portions of the Platform.
  • Harvest or collect information about users without their consent.
  • Use the Platform in any manner that could damage, disable, or impair the Platform.

3.2 User Accounts

If you create an account on the Platform, you are responsible for maintaining the confidentiality of your login credentials and password. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Property Information and Listings

4.1 Accuracy of Information

While BALE Real Estate Services strives to provide accurate and up-to-date property information, we do not warrant the accuracy, completeness, or timeliness of all Listings. Property details, including prices, specifications, availability, and photographs, are provided on an “as-is” basis. We recommend that you independently verify all property information before making any decisions.

4.2 Changes to Listings

BALE Real Estate Services reserves the right to modify, update, suspend, or remove any Listing at any time without notice. We are not responsible for any consequences arising from changes or removal of Listings.

4.3 Third-Party Content

Some Listings may contain content provided by third parties, including property owners, developers, and other real estate professionals. BALE Real Estate Services is not responsible for the accuracy or legality of third-party content and disclaims any liability arising from such content.

5. User Representations and Responsibilities

By using the Platform, you represent and warrant that:

  • You are at least 18 years of age and of legal capacity to enter into binding agreements.
  • You have the authority to bind yourself to these Terms.
  • All information you provide is accurate, truthful, and not misleading.
  • You will comply with all applicable laws and regulations in your use of the Platform.

6. Transactions and Services

6.1 Broker Services

BALE Real Estate Services acts as a real estate broker and provides services including property listing, marketing, leasing, rental coordination, sales facilitation, title transfer assistance, and property surveying. All transactions are subject to applicable Philippine laws and regulations, including the Revised Real Estate Services Act (R.A. No. 9646) and the Tax Code of the Philippines.

6.2 Commission and Fees

Compensation to BALE Real Estate Services shall be determined on a case-by-case basis as mutually agreed upon by the parties. Commission rates, fees, and charges shall be disclosed in a separate written agreement or service proposal before the commencement of services.

6.3 No Guarantee of Sale or Lease

Important Notice: BALE Real Estate Services does not guarantee the sale, lease, or rental of any Property. The Company makes no representations regarding the likelihood of a successful transaction or the value of any Property. Success of any Transaction depends on various factors beyond the Company’s control, including market conditions, buyer/tenant availability, and property condition.

6.4 Due Diligence

Users are solely responsible for conducting their own due diligence, including obtaining independent legal, financial, tax, and property inspections. BALE Real Estate Services recommends consulting with qualified professionals before entering into any Transaction.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BALE REAL ESTATE SERVICES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

IN NO EVENT SHALL BALE REAL ESTATE SERVICES’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY, IF ANY, IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

8. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. BALE REAL ESTATE SERVICES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

 

The Company does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

9. Privacy and Data Protection

BALE Real Estate Services collects, processes, and protects personal data in accordance with the Data Privacy Act of 2012 (R.A. No. 10173) and other applicable laws. Your use of the Platform is also subject to our Privacy Policy. For more information on how we collect and use your data, please refer to our Privacy Policy available on the Platform.

10. Intellectual Property Rights

All Content, including text, graphics, logos, images, audio, video, and software on the Platform, is the exclusive property of BALE Real Estate Services or its licensors and is protected by Philippine and international copyright, trademark, and other intellectual property laws.

 

You may not reproduce, distribute, transmit, or otherwise use any Content without prior written permission from BALE Real Estate Services. Unauthorized use of the Company’s intellectual property may violate copyright, trademark, and other laws.

11. Indemnification

You agree to indemnify, defend, and hold harmless BALE Real Estate Services and its officers, directors, employees, agents, and successors from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to:

 

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your infringement of any third-party rights.
  • Any transaction you enter into involving Properties listed on the Platform.

12. Termination

BALE Real Estate Services may terminate or suspend your access to the Platform at any time, for any reason, without notice or liability. Upon termination, your right to use the Platform shall immediately cease. Any provisions that are intended to survive termination shall continue to apply.

13. Modifications to Terms

BALE Real Estate Services may modify these Terms at any time without prior notice. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms. We recommend reviewing these Terms regularly to stay informed of any changes.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and all matters arising from or related to your use of the Platform shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

14.2 Dispute Resolution

In the event of any dispute, claim, or controversy arising from or related to these Terms or the Platform, the parties agree to first attempt to resolve the matter through good faith negotiation. If negotiation fails, the parties may pursue mediation before filing any legal action. Any legal proceedings shall be brought exclusively in the appropriate courts of the Philippines.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable under Philippine law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in full force and effect.
